What the process does

Every CII-facilitated raise is built on the same compliance infrastructure, and CII Verification is the standard that underpins it: an independent check that the issuing CIC's legal status, governance, articles and directors have been reviewed against the criteria, and that the prescribed process steps have been followed.

A defined process was followed The structural and completeness requirements behind the offer were met and evidenced.
Structural checks were performed CIC legal status, governance, articles, common interest group and director checks.
An evidence trail exists CII Verification confirms the process and document set meet CII's standard; the issuer remains responsible for the offer.

What the process does NOT mean

Because the name includes "Verified", CII is careful to state plainly what the process does not cover. CII Verification does not mean CII:

  • approves the investment,
  • verifies its commercial merits,
  • guarantees return or repayment,
  • confirms that every statement is accurate,
  • confirms suitability for any investor, or
  • provides investor protection.

The CII Verification process is not a verdict on the offer. It does not provide legal, financial or regulatory advice, does not recommend or endorse an offer, and does not replace the issuing CIC's own responsibilities. Each issuing CIC remains solely responsible for its own offer and for its communications with its community.

Who stays responsible

CII provides compliance infrastructure and platform services. We do not give financial advice, recommend investments, or arrange deals. The issuing CIC — through its directors — chooses, signs and sends its own communications, and remains solely responsible for compliance with all applicable laws and regulations.
